The Outschool Unlimited Subscription (“Subscription”) provides a Parent unlimited monthly access to pre-recorded videos, downloadables, and lessons, as made available by Outschool as part of the subscription program, on Outschool for their learner(s). These Outschool Unlimited Subscription Terms (“Subscription Terms”) are made by and between Outschool, Inc. ("Outschool," “we”, “us”, or “our”) and you (“Parent”,“you” or “your'', and each Outschool and Parent is a "Party" and together, the "Parties") regarding your access and use to the Subscription. Outschool’s Terms of Services, Privacy Notice, and Community Standards are hereby incorporated into these Subscription Terms (collectively, the "Agreement"). Where Subscription Terms differ from the Terms of Service or other Outschool policies or adds requirements, these Subscription Terms shall prevail relating to the Subscription. By accessing and using the Subscription, each Parent agrees to accept this Agreement.

The monthly subscription period runs from the day you purchase the subscription, and will continue and automatically renew on a monthly basis (“Subscription Period”), unless and until you cancel your Subscription as described in the Canceling Your Subscription section below, or your account is otherwise suspended or terminated pursuant to these Subscription Terms. 

Outschool reserves the right to develop and launch new products or services or make changes to any products or services offered through the Subscription. If you choose to purchase or participate in any additional products or services offered by Outschool or Teachers, you may be charged additional amounts for such services.

When your subscription renews each month, Outschool will automatically charge your payment method on file for the subscription fee, as well as any applicable tax, on the calendar day corresponding to the commencement of your paying subscription. You agree to provide updated payment information upon request and any time the information you previously provided is no longer valid. We reserve the right to change the timing of our billing, including if your payment method has not successfully settled.

If all eligible payment methods we have on file for you are declined for payment of your Subscription fee, you must provide us a new eligible payment method promptly or your Subscription will be canceled. If you provide us with a new eligible payment method and are successfully charged, your new Subscription Period will be based on the original renewal date and not the date of the successful charge. 

Outschool collects all fees through secure third-party payment processors. Our third-party payment processors accept payments through methods detailed on the applicable payment screen, which may include various credit cards. Such payment methods are subject to change. Information that you supply to our payment processors is not stored by us or within our control, and is subject to each of our third-party payment processors’ own privacy policies and terms and conditions. Third-party payment processors may charge a fee to process payments and Outschool is not responsible for any fees charged by them. Outschool disclaims all liability with regard to any fees or problems you have with third-party payment processors.

UNLESS YOU NOTIFY US BEFORE A CHARGE THAT YOU WANT TO CANCEL OR DO NOT WANT TO AUTO RENEW, YOU UNDERSTAND YOUR SUBSCRIPTION WILL AUTOMATICALLY CONTINUE AND YOU AUTHORIZE US (WITHOUT NOTICE TO YOU, UNLESS REQUIRED BY APPLICABLE LAW) TO COLLECT THE THEN-APPLICABLE SUBSCRIPTION FEE AND ANY TAXES, USING ANY ELIGIBLE PAYMENT METHOD WE HAVE ON RECORD FOR YOU. 

You can cancel your subscription at any time. Once your monthly Subscription Period begins, you are no longer eligible for a full refund and the Subscription payment is excluded from our Standard Refund Policy. Canceling your monthly subscription after a Subscription Period begins will stop any future charges, but will not result in a refund of your most recent payment for the same month Subscription Period when you canceled.

To cancel your Subscription, visit outschool.com/unlimited and scroll to the FAQ "How do I manage my subscription?". There, you'll find a link that lets you cancel or pause your subscription.

Outschool may offer additional trials, promotions or discounts related to the Subscription from time to time, during which the fee of the Subscription may be lower. Please read the details of those offers carefully, as any additional terms presented during the signup process will form part of these Subscription Terms. Unless specified in writing, all discount offers that require payment are non-refundable. Any trial or other promotion must be used within the specified time frame, if applicable, of the trial or promotion as specified in writing, and at the end of that period of time, your Subscription will automatically renew at the then-applicable full price, unless you cancel prior to renewal by emailing  subscriptionsupport@outschool.com. Outschool reserves the right, in its absolute discretion, to determine your eligibility for a trial, promotion or discount, and, subject to applicable laws, to withdraw or to modify a trial, promotion or discount at any time without prior notice and with no liability, to the greatest extent permitted under the law.

1. We reserve the right to accept or refuse subscription membership at our sole discretion. 
2. We may send you email and other communications related to the Subscription (regardless of any settings or preferences related to your account).
3. You may not transfer or assign your Subscription or any Subscription benefits, including providing other third parties (including, but not limited to, other Users) access to pre-recorded videos, downloadables, and lessons on Outschool, except as allowed in these terms.
4. Parents are not permitted to access or use any Subscription content for the purpose of resale or rental using the Subscription. 
5. From time to time, Outschool may choose in its sole discretion to add or remove content from the Subscription.

We may terminate your Subscription at our discretion without notice. We will not give any refund for termination related to conduct that we determine, in our discretion, violates the Agreement, or any applicable law, involves fraud or misuse of the Subscription, or is harmful to our interests or another user. Our failure to insist upon or enforce your strict compliance with the Agreement will not constitute a waiver of any of our rights. 

IN ADDITION TO OTHER LIMITATIONS AND EXCLUSIONS IN OUTSCHOOL.COM'S TERMS OF SERVICE, OUR TOTAL LIABILITY, WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, WILL NOT EXCEED THE LAST SUBSCRIPTION FEE YOU PAID. THIS LIMITATION OF LIABILITY WILL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW AND WILL SURVIVE CANCELLATION OR TERMINATION OF YOUR SUBSCRIPTION.

1. Headings. The section headings throughout the Agreement are provided for ease of reference only and shall have no legal effect.
2. Other Terms. The following terms under the Outschool Terms of Services shall specifically govern these Subscription Terms: resolving disputes, governing law, indemnity and release, disclaimer of warranties, and  limitation of liability. 
3. Waiver and Severability. If either Party chooses to waive any of their rights or fails to enforce any provision of this Agreement, it does not mean that the Party is waiving any other rights or will not enforce those provisions in the future. The waiver or failure to enforce any rights or provisions does not excuse the other Party from fulfilling their obligations under this Agreement. If any provision of this Agreement is deemed invalid, illegal, or unenforceable in any jurisdiction by a court or authority, that provision shall be severed from the Agreement s to such jurisdiction (but, to the extent permitted by law, not elsewhere), and shall not affect the remaining provisions, which shall remain valid and enforceable.
4. Entire Agreement. This Agreement constitutes the entire agreement between you and Outschool and governs your access to the Subscription, superseding any prior agreements between you and Outschool with respect to the Subscription. You also may be subject to additional terms and conditions that may apply when you use affiliate or third party services, third party content or third party software in connection with your access to the Subscription.
