Learn and Earn Showdown  (the “Sweepstakes”) Official Rules

NO PURCHASE NECESSARY. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. 

This Sweepstakes is governed exclusively by the laws of the United States. You are not authorized to participate in the Sweepstakes if you are not located within the fifty (50) United States, the District of Columbia or in Puerto Rico. 

1. Entry Period:  Sweepstakes begins at 12:00:01am Pacific Time (“PT”) on September 18, 2023, and ends at 11:59:59pm PT on November 10, 2023 (“Entry Period”). Entries submitted before or after the Entry Period will not be eligible. Sponsor’s computer is the official time-keeping device for the Sweepstakes.

2. Eligibility:  Sweepstakes is open only to legal residents of the fifty (50) United States and District of Columbia, who are at least eighteen (18) years old or the age of majority in their state of residence (each, an “Entrant”). Void outside of the fifty (50) United States and the District of Columbia, and where prohibited, taxed or restricted by law. Officers, directors, managers, and employees of Outschool, Inc. (the “Sponsor”), and each of its respective parents, subsidiaries, affiliates and related companies and their respective advertising and promotion agencies, consultants and agents, as well as immediate family members and/or those living in the same household of each such person, and any others engaged in the development, production, execution or distribution of this Sweepstakes (collectively the “Sweepstakes Entities”) are not eligible to participate. An “immediate family member” shall be deemed to mean husband, wife, children, mother, father, sister, sister in-law, brother or brother in-law. Sweepstakes may only be entered in or from the fifty (50) United States and the District of Columbia and entries originating from any other jurisdiction are not eligible for entry. All federal, state and local laws and regulations apply.

3. How to Enter: There are two ( 2 ) ways to enter:

(a) Purchase: To receive one ( 1 ) entry into the Sweepstakes, Entrant must do the following during the Entry Period: (i) purchase and complete eight (8) or more tutoring sessions on the Outschool Platform (counted on a family account basis); (ii) post to your followers on Facebook, Instagram, or TikTok about “how you use Outschool tutoring” and include the hashtags #outschool and #tutoringonyourterms; and (iii) complete in its entirety the Hubspot Form (found at this link: https://info.outschool.com/learn-and-earn). 

(b) Write-In: On a postcard or a card that is no smaller than 3 ½ x 5 inches and no larger than 4 ¼ x 6 inches, legibly handwrite your complete name, mailing address, phone number and date of birth and mail with proper postage to: 2261 Market Street, #4545, San Francisco, CA 94114. All write-in entries must be postmarked by September 18, 2023 and received by November 10, 2023. There is a limit of one (1) write-in entry per envelope/postcard. Each envelope/postcard is considered one (1) entry into the Sweepstakes. Multiple entries submitted or completed by anyone other than the Entrant are void. No mechanical reproductions will be accepted. Write-in entries must contain all entry fields outlined above; otherwise, they are void and will not be eligible to win.

Regardless of the entry method used to enter the Sweepstakes, there is a limit of one (1) entry per household for the entire Entry Period. Any attempt by an Entrant to obtain more than the stated number of entries by using multiple/different identities, and/or any other methods will void that Entrant’s entry and that Entrant may be disqualified from the Sweepstakes. Entries submitted by anyone other than the Entrant are void. In case of dispute as to the identity of any Entrant, entry will be declared made by the registered name and address on such entry. Any potential prize winner may be requested to provide Sponsor with proof that such person is the prize winner.

Neither Sponsor nor any Sweepstakes Entity is responsible for any entry that is lost, late, illegible, stolen, mutilated, incomplete, invalid, unintelligible, postage-due, misdirected or undeliverable, whether due to system errors, omissions, interruption, deletions, defects, delay in operations or transmissions, theft or destruction or failures, faulty transmissions or other telecommunications malfunctions, human error, entries not received resulting from any hardware or software failures of any kind, lost or unavailable network connections, failed, incomplete or garbled computer or telephone transmissions, typographical or system errors and failures, faulty transmissions, technical malfunctions, or otherwise. Only fully completed entries are eligible. Proof of submission will not be deemed to be proof of receipt by Sponsor or Sweepstakes Entity.

4. Drawing: On or about November 17, 2023, potential prize winners will be selected in a random drawing from all eligible entries received by Sponsor.  Odds of winning depend on the number of eligible entries received for the Sweepstakes. By entering the Sweepstakes, Entrants fully and unconditionally agree to be bound by these Official Rules and the decisions of the Sponsor and Sweepstakes Entities, which will be final and binding in all matters relating to the Sweepstakes.

5. Potential Winner Requirements: Except where prohibited, a potential winner may be required to complete and return an affidavit of eligibility and liability/publicity release. If the Sponsor does not already have one on file, each potential winner may be required to sign and return to the Sponsor a completed Form W 9 (“W-9”) for tax reporting purposes, in order to claim his/her Prize. If a potential winner fails to sign and return these documents within the required time period, an alternate potential winner may be selected in his/her place in a random drawing of all remaining entries received. If the potential winner fails to respond within 24 hours or if the notification is returned as undeliverable or fails to reach the potential winner for any reason, the potential winner will be disqualified and an alternate winner may be selected at Sponsor’s sole discretion, who will be subject to disqualification in the same manner.  All Entrants must also have an address on file with the Sponsor or have provided an address when prompted at the time of entry. In the event that an Entrant has an incomplete address, the Entrant will be disqualified and an alternate prize winner will be selected in a random drawing

 

6. Prizes (each, a “Prize”):

Grand Prize: One ( 1 ) grand prize will be awarded, consisting of up to fifty-two (52) tutoring sessions valued at no more than eighty-dollars ($80) per session. Sessions must be completed by no later than December 31, 2024; any remaining tutoring sessions not used by that date will be forfeited by the winner. Total approximate retail value is $4,160.00.

First Prize: One ( 1 ) Apple iPad Mini (10th generation). Total approximate retail value of $500.

Second Prizes: Five ( 5 ) second prizes will be awarded, each consisting of an Outschool branded item (each, a “Second Prize”). Total approximate retail value of all Second Prizes is $500.

Total approximate retail value of all prizes to be awarded is $4,860.

7. Prize Restrictions: Limit of one (1) prize per person/household. All prizes are non-transferable or assigned and no substitutions or cash redemptions; except at Sponsor’s sole discretion or as otherwise provided herein. Sponsor will not replace any lost or stolen prizes. In the case of unavailability of any prize, Sponsor reserves the right to substitute a prize of equal or greater value. Each prize winner is solely responsible for all applicable federal, state and local taxes, including taxes imposed on his/her income. No more than the stated number of prizes set forth in these Official Rules will be awarded. No compensation will be provided for any prizes that are not able to be awarded to a prize winner.

 

8. License Grant: By entering the Sweepstakes, you grant Sponsor, its agents, licensees, and assigns, an irrevocable, perpetual, worldwide, royalty-free, non-exclusive right and permission to reproduce, encode, store, copy, transmit, publish, post, broadcast, display, publicly perform, adapt, modify, create derivative works of, exhibit, and otherwise use your Entry as-is or as-edited (with or without your name, image and likeness) in any media throughout the world for any purpose, without limitation, and without additional review, compensation or approval from you. 

 

9. General Conditions: In the event that the operation, security, or administration of the Sweepstakes is impaired in any way, Sponsor may, in its sole discretion, either: (a) suspend the Sweepstakes to address the impairment and then resume the Sweepstakes in a manner that best conforms to the spirit of these Official Rules; or (b) award the Prize(s) at random from among the eligible entries received up to the time of the impairment. Sponsor reserves the right, in its sole discretion, to disqualify any individual who tampers with the operation of the Sweepstakes, violates these Official Rules, or acts in an unsportsmanlike or disruptive manner. Sponsor reserves the right to seek damages from any person who seeks to undermine the legitimate operation of the Sweepstakes. Failure by Sponsor to enforce any term of these Official Rules shall not constitute a waiver of that provision. Proof of sending any communication to Sponsor by mail shall not be deemed proof of receipt of that communication by Sponsor. The Sweepstakes is subject to federal, state, and local laws and regulations and is void where prohibited.

10. Release and Limitations of Liability: By entering, you agree to release and hold harmless Sponsor, Twitter, Instagram, Facebook, TikTok, Snapchat, Apple and Google and each of its respective parents, subsidiaries, affiliates, officers, directors, employees, and agents (collectively, the “Released Parties”) from and against any claim or cause of action arising out of or related to participation in the Sweepstakes or receipt or use of any Prize, including, but not limited to (a) unauthorized human intervention in the Sweepstakes; (b) technical errors related to computers, servers, providers, or telephone or network lines; (c) technical errors that may prevent an individual from participating or receiving direct messages related to the Sweepstakes; (d) printing errors; (e) lost, late, postage-due, misdirected, or undeliverable mail; (f) errors in the administration of the Sweepstakes or the processing of posts; or (g) injury or damage to persons or property. You further agree that in any cause of action, in no event shall the Released Parties be liable for attorneys’ fees or other legal costs. You waive the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, or indirect damages. All potential winners are subject to verification by Sponsor, whose decisions are final and binding in all matters related to this Sweepstakes. An entrant is not a winner of any Prize, even if the Sweepstakes should so indicate, unless and until entrant’s eligibility and the potential winning Entry has been verified and entrant has been notified that verification is complete. Sponsor will not accept alternative evidence of winning in lieu of its validation process. 

11. Disputes: You agree that any and all disputes, claims and causes of action arising out of, or connected with, the Sweepstakes or any Prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by arbitration pursuant to the rules of the American Arbitration Association. All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, your rights and obligations, or the rights and obligations of the Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of California, except as preempted by FAA, without giving effect to any choice of law or conflict of law rules (whether of California or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than California. In the event of any conflict between this provision and the dispute resolution and arbitration agreement in the Outschool Terms of Service https://www.outschool.com/terms, the Outschool Terms of Service shall govern.

12. Sponsor: The Sweepstakes is sponsored by Outschool, Inc., 2261 Market Street #4545, San Francisco, California 94114. The Sweepstakes is not sponsored by, endorsed by, administered by, or associated with Twitter, Instagram, Facebook, TikTok, Snapchat, Apple and Google.

This Sweepstakes shall not be published without the written permission of the Sponsor.
